Terms of Service

These Terms of Service ("Terms") govern your use of the Happy Medium platform (the "Service") operated by Happy Medium ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Service Description
Happy Medium is a multi-tenant software-as-a-service platform for experience-based businesses. The Service provides reservation management, deposit collection, tab management, point-of-sale integration via Stripe Terminal, and optional accounting synchronization with QuickBooks Online.
2. Account Terms
You must provide accurate and complete information when creating an account.
You are responsible for maintaining the security of your account credentials.
Business accounts are limited to one business per account unless otherwise arranged.
You must be at least 18 years old to create an account.
3. Payment Terms
All payment processing is handled by Stripe. By using our payment features, you also agree to Stripe's terms of service.
Deposits are calculated as follows: $15 flat for groups of 1-5 guests; $15 per person for groups of 6 or more. Maximum party size is 20 (configurable per location).
Cancellation policy: cancellations made 24 hours or more in advance receive a deposit credit applied to their bill; cancellations made less than 24 hours in advance forfeit the deposit; no-shows forfeit the deposit.
Groups of 10 or more are subject to a 20% service charge on the final bill.
4. Acceptable Use
You agree not to:
Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Attempt to gain unauthorized access to the Service or its related systems.
Interfere with or disrupt the integrity or performance of the Service.
Upload or transmit malicious code, viruses, or other harmful content.
5. Data Ownership
Business owners retain full ownership of their business data, including customer records, reservation data, and financial information. Happy Medium retains ownership of the platform, its software, design, and related intellectual property.
6. QuickBooks Online Integration
QuickBooks Online integration is optional and initiated solely at the business owner's request.
Data accessed includes chart of accounts, journal entries, bills, and vendors for the purpose of bidirectional accounting synchronization.
Business owners may disconnect their QuickBooks Online account at any time through the dashboard.
Upon disconnection, OAuth tokens are revoked and reference data is cleared. Optionally, all QBO-imported entries may be purged.
7. Intellectual Property
The Service, including its original content, features, and functionality, is owned by Happy Medium and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of the Service without our express written permission.
8. Limitation of Liability
To the maximum extent permitted by law, Happy Medium shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, or any other legal theory.
9. Termination
Either party may terminate the agreement at any time. Upon termination, business owners will have a 30-day period to export their data. After this period, we may delete your data in accordance with our Privacy Policy. We reserve the right to suspend or terminate accounts that violate these Terms.
10. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
