End User License Agreement
Effective Date: March 19, 2026
This End User License Agreement ("EULA") is a legal agreement between you ("User") and Happy Medium ("we," "us," or "our") for the use of the Happy Medium platform (the "Software"), including its integration with Intuit QuickBooks Online ("QBO").
1. License Grant
We grant you a non-exclusive, non-transferable, revocable license to use the Software in accordance with these terms. This license does not include any right to sublicense, sell, resell, or distribute the Software or any part thereof.
2. QuickBooks Online Data Usage

The Software accesses QuickBooks Online data solely for the purpose of accounting synchronization between your business operations and your QBO account.
•
QBO data accessed includes chart of accounts, journal entries, bills, and vendor records.
•
Your QBO data is never sold, shared for advertising purposes, or used for any purpose other than providing the accounting synchronization features you have explicitly authorized.
•
QBO access is initiated only at your explicit request and can be revoked at any time through the dashboard disconnect feature.
3. Data Handling and Security
•
QBO OAuth tokens are encrypted at rest using AES-256-GCM encryption.
•
All data transmitted between the Software and QBO is protected by TLS 1.2 or higher.
•
We request only the minimum QBO scopes necessary to perform accounting synchronization.
•
Upon disconnection, OAuth tokens are immediately revoked and all QBO reference data is cleared from our systems.
4. Restrictions
You agree not to:
•
Reverse engineer, decompile, or disassemble the Software or any part thereof.
•
Sublicense, lease, rent, or lend the Software to any third party.
•
Use the Software in any manner that violates Intuit's terms of service or developer policies.
•
Attempt to circumvent any security measures or access controls implemented in the Software.
5. Termination
This EULA is effective until terminated. It terminates automatically upon closure of your account or upon violation of any of its terms. Upon termination, all QBO OAuth tokens are revoked and your access to the Software ceases. Sections 6, 7, and 8 survive termination.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL HAPPY MEDIUM BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE USE OF THE SOFTWARE, REGARDLESS OF THE THEORY OF LIABILITY.
8. Updates and Modifications
We may update this EULA from time to time. We will notify you of material changes by posting the updated EULA on this page and updating the effective date. Your continued use of the Software after changes become effective constitutes acceptance of the revised EULA.
